Region 2 Call for Nominations

Region 2 of The NPANYS is seeking nominations for the following board positions: President Elect and Secretary. All Officers shall be Active or Retired Members and elected to the position.

General Duties and Responsibilities

PRESIDENT ELECT: The President Elect shall serve for a one-year term, and shall become President at the end of this term. The President Elect shall perform the duties of the President in the absence of the President at Executive Committee, Board of Directors and/or general membership meetings. The President Elect shall perform any and all duties designated by the President and/or a majority vote of the Board of Directors. In the event of a vacancy in the position of President, the President Elect shall assume said vacancy through the end of the outgoing President’s term and may run for a new term during the next regularly scheduled election.


REGION PRESIDENT: The President shall have responsibility for the supervision of the business and affairs of the Region subject to the direction of the Board, and shall have authority to delegate any tasks to other board members. The President shall serve for a term of one (1) year, commencing in January through December, then shall serve as Immediate Past President. S(he) shall function as President of the Board and preside at all meetings of the Members, the Board and the Executive Committee. The President shall make committee appointments subject to Board approval.   The President shall perform all the duties usually incident to the office of President and shall be, ex officio, a voting member of all Committees and chair of the Executive Committee.  The President shall have the authority to appoint a member of the Executive Committee to attend an event or, Board of Directors meeting, or other Regional function, subject to a majority vote of the Executive Committee.  The President shall be responsible for ensuring that the other officers comply with recordkeeping and compliance requirements in order to maintain the Region’s corporate compliance. 

SECRETARY:  The Secretary shall serve a term of two (2) years and shall be elected in even-numbered years.  The Secretary shall attend all meetings of the Board, Region, and, to the extent one exists, its  Executive Committee, and record and make available to The Association, all votes and minutes of all proceedings thereof in a book to be kept for that purpose; give or cause to be given notice of all special meetings of the Board and all other notices required by law or by these By-Laws; keep in safe custody the seal of the Corporation to the extent one exists, and affix it to any instrument when so authorized by the Board or the Region President; keep all the corporate books and legal records of the Region as required by law or otherwise in a proper and safe manner; and perform all duties incident to the office of Secretary and such other duties as from time to time may be prescribed by the Board or the Region President.  The Secretary shall be responsible for keeping electronic and paper files of all Region minutes, correspondence, articles, and other corporate documents for the amount of time required by commercially reasonable appropriate document destruction time frames.  The Secretary shall provide all notices of Board meetings to members of the Board of Directors and shall maintain said record with the Region’s corporate files.
