Region 3 Call for Nominations 2020

Region 3 is seeking nominations for President Elect and Secretary. Please consider joining the Board of Directors for The NPA Region 3. Terms will begin on January 1st, 2021. You may self-nominate. Only Regular and Retired members can run. Please return the nomination form along with your CV and email to Isabel Kliss at Isabel.kliss.dnp@protonmail.com

Position: President-elect

Eligibility: One year active or retired membership in the NYS NPA.

Position Term: Three years in total serving as President-elect, President and Immediate Past President.

Position Description:

PRESIDENT ELECT- The President Elect shall serve for a one-year term and shall become President at the end of this term. The President Elect shall perform the duties of the President in the absence of the President at Board and/or general membership meetings. The President Elect shall perform any and all duties designated by the President and/or a majority vote of the Board. In the event of a vacancy in the position of President, the President Elect shall assume said vacancy through the end of the outgoing President’s term.


The President shall have responsibility for the

supervision of the business and affairs of the Region subject to the direction of the Board and shall have authority to delegate any tasks to other board members. The President shall serve for a term of one (1) year, commencing in January through December, then shall serve as Immediate Past President. S(he) shall function as President of the Board and preside at all meetings of the Members and the Board. The President shall make committee appointments subject to Board approval. The President shall perform all the duties usually incident to the office of President and shall be, ex officio, a voting member of all Committees. The President shall be responsible for ensuring that the other officers comply with record-keeping and compliance requirements in order to maintain the Region’s corporate compliance.


The Immediate Past President shall serve for one term after serving as President. In addition to serving as a consultant and advisor to the Board, he or she shall preside at meetings of the Board when the President or President-Elect is unavailable. The Immediate Past President shall also serve as chair of the Nominations Committee.

Position: Secretary

Eligibility: One year active or retired membership in the NYS NPA.

Position Term: Two years in total with election in even-numbered years.

Position Description: As outlined in the Region 3 bylaws.

SECRETARY- The Secretary shall serve a term of two (2) years and shall be elected in even-numbered years. The Secretary shall attend all meetings of the Board and Region, and record and make available to The Association, all votes and minutes of all proceedings thereof in a book to be kept for that purpose, and shall be e-mailed or mailed to Board members, and then shall be posted to the Region’s website after Board approval; give or cause to be given notice of all special meetings of the Board and all other notices required by law or by these By-Laws; keep in safe custody the seal of the Corporation to the extent one exists, and affix it to any instrument when so authorized by the Board or the Region President; keep all the corporate books and legal records of the Region as required by law or otherwise in a proper and safe manner; and perform all duties incident to the office of Secretary and such other duties as from time to time may be prescribed by the Board or the Region President.  The Secretary shall be responsible for keeping electronic and paper files of all Region minutes, correspondence, articles, and other corporate documents for the amount of time required by commercially reasonable appropriate document destruction time frames.  The Secretary shall provide all notices of Board meetings to members of the Board of Directors and shall maintain said record with the Region’s corporate files.
